CakeMarket Seller Agreement (Hungary)

This document describes the planned CakeMarket model for Organisations in Hungary and requires review by a lawyer, a tax advisor and a food-safety specialist before production publication.
Legal documentation is maintained separately per country; this document applies to the Hungarian market (hu.cakemarket.app). The Hungarian version is the source and governing text, and this English page is its 1:1 courtesy translation. The structure mirrors the Polish source documents 1:1, differing only in country-specific points. The corresponding document for the Polish market is in the Poland section.
CakeMarket is not a registered company yet. The operator's final company name, registered address, tax number (adószám) / company registration number and contact details must be completed before production publication.
§ 1. Relationship with CakeMarket
1.1. This Agreement supplements the Terms of Service and sets out the rules under which Sellers and Organisations use CakeMarket.
1.2. The Organisation is an independent entrepreneur or entity responsible for its offer, the preparation of the cake, food safety, information provided to the Buyer, taxes and settlements.
1.3. CakeMarket provides tools for receiving requests, submitting offers, communication, order handling, online payments, reviews and an administration panel.
§ 2. Participation requirements
2.1. A Seller operates within an Organisation. The Organisation must be created or joined during onboarding. New Organisations do not require platform approval; CakeMarket may disable access where necessary under the Terms.
2.2. For Hungary, the Organisation provides at least its name, address, contact details, tax number (adószám) and invoicing data. The data may be used for verification and for configuring Stripe Connect.
2.3. The Organisation must configure cake types, flavours, special requirements, lead time, pickup or delivery, the minimum Deposit percentage and — for online payouts — Stripe Connect.
2.4. Uploading a food-chain authority document is optional. The document is private and may be accessed only by authorised CakeMarket administrators and active administrators of the Organisation. CakeMarket may issue a customer-visible badge after reviewing the submitted document. The badge confirms only that the submitted document was reviewed for display; CakeMarket does not verify it with the authority, inspect the Organisation, endorse the Seller or guarantee legal compliance or product quality.
§ 3. Food safety and legal obligations
3.1. The Seller is responsible for meeting the requirements of food law, in particular Regulations (EC) No 178/2002 and 852/2004, Regulation (EU) No 1169/2011 and Act XLVI of 2008 on the food chain and its official supervision.
3.2. The Seller is responsible for the registrations/notifications required by the food-chain supervisory authority (NÉBIH or the competent government office), hygiene procedures, HACCP or HACCP-based procedures, staff medical fitness examinations, storage, transport and reliable allergen information.
3.3. The Seller must not make declarations they cannot fulfil, in particular regarding the absence of allergens, special diets, or the completion or delivery date.
3.4. The Seller must provide the Buyer with all food and allergen information required by law before the relevant sale is concluded and remains solely responsible for the completeness and accuracy of that information. Before purchase, the Seller must also ask the Buyer to disclose any relevant food allergy or intolerance and consider the response when agreeing and fulfilling the Order. The Buyer remains responsible for disclosing known allergies and intolerances; this does not create an allergen-free guarantee unless the Seller expressly agrees to one in writing. CakeMarket does not prepare, verify or guarantee the information.
§ 4. Offers and fulfilment
4.1. An Offer covers the price, the Deposit percentage, a description, the completion date and a proposed image or visualisation. Once the Buyer accepts it and pays the Deposit, the Offer becomes the basis of the Order.
4.2. The Seller manages the statuses: deposit paid, in progress, ready and delivered. The completed status arises upon the Buyer's confirmation or automatic completion 3 days after delivery is marked.
4.3. The Seller maintains communication in the messaging module and is responsible for the cake's conformity with the agreed specification.
§ 5. Payments, commission and payouts
5.1. The Deposit is paid online via Stripe when the Order is created. The Balance may be paid online or offline in cash or by card at pickup/delivery, where the process allows it.
5.2. The CakeMarket Commission is 10% of the total Order price. The current implementation records the commission when the Deposit is paid; no additional commission is charged on the Balance. If the Seller cancels the Order, every online payment captured for that Order (the Deposit and any online Balance) is refunded to the Buyer and CakeMarket does not retain the commission on that Order.
5.3. Online funds are paid out to the Seller via Stripe Connect after the Order is completed, including automatic completion 3 days after delivery is marked.
5.4. After an Order is completed, CakeMarket issues the Seller an invoice only for CakeMarket's platform fee, using Számlázz.hu (Számla Agent) and the Organisation's invoicing data. CakeMarket does not issue the invoice, receipt or other sales document for the cake to the Buyer. The Seller remains solely responsible for those customer documents, their own taxes, VAT (áfa), income tax (personal income tax / corporate tax) and the records required by Hungarian law. Real-time invoice-data reporting under NAV Online Számla is performed by Számlázz.hu where configured.
§ 6. Cancellations and complaints
6.1. If the Seller cancels an Order before completion, every online payment captured for that Order (the Deposit and any online Balance) is refunded to the Buyer.
6.2. If the Buyer cancels, the current payment integration refunds: 100% of the Deposit before work starts (the "deposit paid" status), 50% of the Deposit after work starts (the "in progress" status) and 0% once the Order is marked "ready" or later. The withheld part of the Deposit is paid out to the Seller in full — the platform charges no Commission on it. These rules are executed by the cancellation endpoint and Stripe; interrupted online settlement is recorded and retried.
6.3. CakeMarket does not adjudicate product, quality or fulfilment disputes between the Buyer and the Seller. The Seller must communicate directly with the Buyer and handle complaints as the party to the contract, without prejudice to mandatory Consumer rights. CakeMarket may provide communication tools but does not decide the merits of a complaint.
§ 7. Ranking and P2B
7.1. CakeMarket may sort offers by price, ratings and certification level. Sellers cannot buy a higher ranking position.
7.2. If an Organisation is suspended, restricted or removed, CakeMarket provides a statement of reasons and enables contact/appeal to the extent required by the P2B Regulation and the DSA, where those rules apply.
7.3. Material changes to the terms for Sellers will be communicated with appropriate advance notice on a durable medium, in line with the P2B Regulation, unless a statutory exception applies.
§ 8. Content, photos and AI
8.1. The Seller declares that they hold the rights to the portfolio photos and other uploaded content and that this content does not infringe third-party rights.
8.2. The Seller grants CakeMarket a non-exclusive licence to display this content in the Service for the purpose of providing the marketplace services.
8.3. AI images are auxiliary visualisations and do not replace technical arrangements between the Buyer and the Seller.
§ 9. Personal data
9.1. The Seller receives Buyers' data solely to the extent needed for the offer, communication and the fulfilment of the Order.
9.2. To the extent the Seller processes Buyers' data independently, outside CakeMarket's tools, the Seller acts as a separate controller and is responsible for GDPR compliance.
